Primevista Television Inc. would be pleased to receive your ideas, program suggestions and literary materials. We invite you to first carefully review the following policy and agreement, as it will apply to any ideas, suggestions and other materials you submit. Primevista Television Inc. will review and consider your submissions only if you accept this policy and agreement. It is intended to clarify the rights and obligations of Primevista Television Inc. with respect to your submissions and to avoid any misunderstandings.

POLICY:

Primevista Television Inc. may review and discuss your submissions with its employees, and possibly others, to evaluate its usefulness to Primevista Television Inc. You recognize that other persons, including our own employees, may have submitted to us or to others or made public, similar or identical material which Primevista Television Inc. may independently have the right to use. Accordingly, you understand that any such review process does not create a confidential relationship between you and Primevista Television Inc. nor does it imply that you will be entitled to any compensation if Primevista Television Inc. uses similar or identical material. However, should Primevista Television Inc. choose to use any portion of your submissions that is legally able to be protected, Primevista Television Inc. will pay you such compensation as we may subsequently negotiate and agree upon in writing.

AGREEMENT:

You agree that you have requested Primevista Television Inc. to review and consider your submissions in accordance with and in reliance on the provisions of this policy and agreement. You warrant that you are the sole creator and owner of all material submitted by you to Primevista Television Inc. and that no one else to your knowledge has any right to it. You agree that Primevista Television Inc. may retain and is not obligated to return to you or destroy any materials submitted and you confirm that you have kept a copy of all materials submitted. Either party to this agreement may assign or license its or their rights hereunder, but such assignment or license shall not relieve such party of its or their obligations hereunder. This agreement shall inure to the benefit of the parties hereto and their heirs, successors, representatives, assigns and licensees, and any such heir, successor, representative, assign or licensee shall be deemed a third party beneficiary under this agreement.

This agreement shall be governed by the laws of the Province of Ontario applicable to agreements executed and to be fully performed therein. The above terms and conditions may not be waived or changed except in writing and signed by an officer of Primevista Television Inc.
